The shares in BA Bhd, an old established but sound engineering company have been steadily declining in recent years despite unspectacular but reasonable profits and regular dividends.
Brown is thinking of buying some shares in this company.
why the share may be declining in value and what prospects for growth Brown may foresee.

Ok, I'll take a stab at this.
Reasons the stock may be declining "despite unspectacular but reasonable profits and regular dividends"
1. Management may have changed
2. Competition may have intensified
3. New government regulations ("Engineering company")
4. Patents may have expired ("Old, established company")
As for Mr. Brown.... Perhaps he feels that the reason(s) for slow-growth will be short-lived, and that he's buying the stock at a bargain price now.
